Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you and Jedro Labs LLC, a Wyoming limited liability company (“Jedro Labs”, “we”, “us”), governing your use of the GraceDays application and website at gracedays.app (the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 18 years old to use the Service — on any plan, including a free trial — and able to form a binding contract. When you create an account you confirm that you are 18 or older, and we record that confirmation together with the date and the version of these Terms. The Service is not directed to anyone under 18, and we do not knowingly collect their data; if we learn that an account belongs to someone under 18 we will close it. You are responsible for keeping your account credentials secure and for all activity under your account.
2. The Service
GraceDays is a fully automated, AI-powered personal assistant for organising your day — logging health and wellness activity, finances, notes, reminders, and receiving AI-generated insights and coaching. Features, limits, and plans are described on our pricing page and may change over time as we improve the product.
Your goals and targets are yours. Grace may suggest a starting number — a step count, a protein amount, a calorie balance, a weekly minutes target — from what you tell her. Every suggestion is shown to you before anything is set, and nothing is set until you confirm it. You choose your goals and targets, you can change or remove them at any time, and you are responsible for choosing ones that suit your health, your fitness and your circumstances.
3. Subscriptions, billing and renewals
- Every plan starts with a free trial. To start it you choose a plan and provide a valid payment card. Nothing is charged during the trial; when it ends, the plan you chose is charged automatically to that card unless you cancel first, and we remind you by email before the first charge.
- Paid plans are billed in advance on a monthly or annual basis and renew automatically at the then-current price for your plan until you cancel.
- You can cancel at any time from your account settings or by contacting us; cancellation stops the next renewal and you keep paid features until the end of the current billing period. Unused time is not refunded or credited except as set out in the Refund Policy or required by law.
- Moving to a higher plan or a longer billing period takes effect immediately and the prorated difference is charged at that moment. Moving to a lower plan or a shorter billing period takes effect at the end of the current paid period; the unused part of the period is not refunded or credited.
- “Founding member” pricing, where offered, remains at the rate you joined on for as long as your subscription stays active and uninterrupted.
- Refunds are governed by our Refund Policy.
4. Payments and merchant of record
Payments are processed by our third-party payment provider, which acts as the merchant of record for your purchase. That provider is responsible for charging your payment method and for collecting and remitting any applicable sales tax, VAT, or GST. Your card details are handled by the provider and never stored on our servers. Your purchase is also subject to the payment provider’s terms.
5. Acceptable use
You agree not to misuse the Service. In particular, you will not: break the law; infringe others’ rights; attempt to access accounts or data that are not yours; probe, scan, or overload our systems; reverse-engineer or resell the Service; or use it to store or transmit malicious code. We may suspend or terminate accounts that violate these Terms.
6. Your content
The information you enter — your logs, notes, entries, and messages — belongs to you. You grant us a limited licence to store and process it solely to operate and provide the Service to you (including sending it to the AI providers listed in our Privacy Policy to generate responses). We do not sell your personal data. You can export or delete your data as described in the Privacy Policy.
7. Intellectual property
The Service, including its software, design, and branding, is owned by Jedro Labs and protected by intellectual-property laws. These Terms grant you a personal, non-transferable, non-exclusive right to use the Service while your account is in good standing — nothing more.
8. Not medical, financial, or professional advice
GraceDays helps you track and reflect on your own information. Its insights and AI-generated coaching are for general informational purposes only and are not medical, health, financial, legal, or other professional advice. Always consult a qualified professional before making decisions about your health or finances. Never disregard professional advice because of something in the Service.
Physical activity and changes to how you eat carry risk. Before you start or change an exercise or nutrition routine — especially if you are pregnant, have a medical condition or an injury, take medication, or have not been active for a while — talk to a qualified professional. You take part in any activity you log or plan with the Service at your own risk: listen to your body, and stop and seek help if something feels wrong. Grace is an AI: she can be wrong, she does not monitor for emergencies, and she is not a substitute for a doctor, a dietitian or an emergency service.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. AI output can be inaccurate or incomplete; you are responsible for how you use it. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
10. Limitation of liability
To the fullest extent permitted by law, Jedro Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we are required to by law. On termination, the licences granted to you end; sections that by their nature should survive (ownership, disclaimers, liability limits, governing law) will survive.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The courts located in Wyoming will have jurisdiction over any dispute, except where mandatory consumer-protection law in your country of residence gives you additional rights.
